Job Purpose::

To provide strategic and operational legal advice to the IsDB Group and to ensure IsDB Group’s compliance with all applicable governing rules and regulations (including Articles of Agreements, by-Laws and regulations, rules and agreements with member countries and other institutions) and policies.

Key Accountabilities:

Overall Function:

  1. Review and assure that all legal matters and issues under consideration by the Board of Governors, General Assemblies Board of Executive Directors, Boards of Directors of the members of the Group, President and Executive Management Committee are conducted according to the norms and standards adopted by IsDB Group.
  2. Providing legal opinion, advice and guidance to the President in support of his decision-making.
  3. Providing leadership on the formulation and modification of IsDB’s governing rules, regulations and policies whenever appropriate.
  4. Providing legal opinion and advice on interpretation and application of IsDB Group’s governing rules and regulations and policies as they relate to current operations and proposed new activities.
  5. Providing legal opinion and advice to the President on matters requiring referral to the Group Shari’ah Board or under consideration by the Shari’ah Board.
  6. Providing of legal opinion and advice (upon request by the President or member of the Management) on matters pertaining to IsDB’s relationships with its member countries, partner institutions and counterparties.
  7. If requested, assisting in provision of technical assistance to member countries for developing and enhancing their institutional legal framework and capacity.
  8. Carrying out other activities as may be referred to it by the President or the BED

Legal:

  1. Extension of effective and efficient legal services with the aim of achieving the IsDB’s purpose, goals and objectives.
  2. Protection of the interest of IsDB Group and designing ways and means to mitigate and manage legal risks relating to the activities of the members of the Group.
  3. Provision of legal services and advice to IsDB business units on a range of issues pertaining to the administration, operations and financial activities of the IsDB.
  4. Responsible for ensuring that the IsDB Group‘s activities and operations are consistent with their respective constituting documents (and other legal instruments), with Shari’ah norms and principles, international and commercial law, and the best practices of international development banking.

Compliance:

  1. Provide legal advice to the Compliance Section to ensure the compliance of IsDB Group activities with applicable internal and external international and local country laws and to Identify and mitigate risks to IsDB Group’s global image and reputation.
  2. Ensure existence of adequate policies and rules relating to compliance.

Shari’ah Compliance:

  1. Provide legal advice to the Shari’ah Board and the Shari’ah Compliance Section on all matters related to Shari’ah to ensure that all IsDB’s financing, investment and funding operations are compliant with Shari’ah directives.
  2. To oversee the arrangements for the meetings of the Shari’ah Board and all matters relating thereto.

Corporate Governance:

  1. Provide legal advice to the Corporate Governance Section on all matters related to the effectiveness of the IsDB’s governance practices and framework.
  2. Help the IsDB Group members to have proper and satisfactory governance. 

Litigation Section:

  1. Provide legal advice to the Litigation Section for all litigation matters of IsDB and the other members of IsDB Group.
  2. Supervises the Litigation Section and sets overarching direction.
  3. Develops necessary partnerships with internal and external stakeholders. 

Leadership Responsibilities:

  1. Conducts performance evaluations of direct reports and related divisions/units.
  2. Develops direct reports and guides them in management of their functions.
  3. Resolves conflicts and mediate disputes at department/division/unit levels.

Job Requirements:

Academic and professional qualifications:

  • Master’s degree or equivalent in Law, preferably in commercial law generally or banking law specifically.
  • PhD or equivalent in Law, preferably in commercial law in general or banking law specifically would be desirable.
  • Minimum 15 years of prior relevant legal experience after the masters’ degree.
  • Minimum 10 years of experience in the managerial role.

Work Experience 

  • 15+ years of prior relevant legal experience after the masters’ degree.
  • 10+ years of experience in the managerial role.

Languages

  • Fluent in oral and written English language
  • Fluent in oral and written Arabic language
  • Fluent in oral and written French language  (Preferred)

 

Job Location:

  • Job will be based in IsDB’s headquarters in Jeddah, KSA
  • □Masters degree in economics, engineering, business administration or in any areas of Global Practices or related field. PhD will be preferred.
  • □15 years of work experience in the field of development, including at least 10 years in operations of international development institutions (design and implementation of projects, policies and strategies, quality assurance systems, operations results management, analytical and advisory work etc).
  • □Substantial exposure to the tenets of the IsDB's mission, including experience and track record in dealing with policy-formulation and execution.
  • □The last 5 years of the experience should be at a senior management position in a large or medium sized organization, preferably multinational development organization.
  • □Demonstrated skills and experience in developing innovative, strategic and high impact development solutions, international knowledge work or development financing products.
  • □Track record of working in demanding and complex environments of introducing ideas and innovation and of following through their implementation.
  • □Good grasp of the developing countries development issues, and solid experience in sector issues and the economics of development.
  • □Strong experience in policy dialogue and
  • □Experience of working in large multicultural organizations in the public or private sector with diversified workforce.
  • □Ability to communicate effectively and building relationships with oversight bodies such as boards of executive directors, board of governors and other senior government officials.
  • □Familiarity with the IsDB member countries as well as the work of multilateral development banks will be an  added advantage.
  • □Fluency in English is mandatory. Good knowledge of Arabic and/or French will be and added advantage.
  • □Proven intellectual leadership in managing and maintaining an efficient and transparent work environment.
  • □Demonstrated leadership ability and experience in strategy formulation and implementation.
  • □Demonstrated experience in managing and implementing organizational and cultural change to enhance performance and results.
  • □Ability to inspire and motivate staff and work across boundaries.
  • □Established reputation as an influencer with high integrity standards.
